Emori Partner Program Terms
Last updated: 29 October 2026
Emori Intelligence Ltd.
Effective date: The date you join the program.
1. The agreement
These Partner Program Terms ("Partner Terms") are an agreement between you ("Partner", "you") and Emori Intelligence Ltd. ("Emori", "we", "us"), a company registered in Ireland under Company Number 814805, with its registered office at The Black Church, St. Mary's Place, Dublin 7, D07 P4AX, Ireland.
They govern participation in the Emori Partner Program, including referrals, commissions, partner portal access and related promotional activities.
By taking part in the program, you agree to these Partner Terms.
Our Terms of Service and Privacy Policy also apply where relevant. These Partner Terms govern your participation as a referral partner. If they conflict with our general Terms of Service about a partner-specific matter, these Partner Terms take precedence for that matter.
Participation in the Partner Program does not make you an Emori subscriber. Any business subscribing to Emori enters into its own agreement with Emori.
2. Who can become a partner
The program is intended for accountants, bookkeepers, accounting firms and other approved professional or business referral partners.
To participate, you must:
- Be at least 18 and legally able to enter into a contract.
- Provide accurate and current registration information.
- Have authority to participate on behalf of your firm, if applicable.
- Complete Emori's partner approval process.
- Comply with applicable laws, professional standards and these Partner Terms.
Applying does not guarantee approval.
Only approved partners in good standing are eligible to earn commissions. Emori may decline an application where participation would create a legal, compliance, fraud or other legitimate program risk.
3. Your role as an Emori Partner
You may introduce suitable businesses to Emori using your assigned referral link or code.
You are not required to transfer clients to Emori, stop providing professional services or change your clients' existing accounting arrangements.
Your clients remain your clients.
You continue to manage your own professional relationship, including any bookkeeping, accounting, tax, year-end, assurance or advisory services you provide.
Emori provides software. It does not replace a qualified accountant or bookkeeper, and it does not assume responsibility for the professional services you provide.
The Partner Program is non-exclusive. You are an independent business or professional, not an employee, franchisee, legal agent or joint-venture partner of Emori.
You cannot enter into contracts, make binding promises or incur obligations on Emori's behalf.
4. Referrals and attribution
After approval, Emori provides you with a personal referral link and/or referral code.
A Qualifying Referral is a business attributed to your approved partner account through Emori's referral-tracking system that generates an eligible subscription payment.
To qualify:
- The referral must be recorded against your partner account.
- You must be an approved, eligible partner when the qualifying payment is made.
- The referral must not be a prohibited self-referral.
- The resulting subscription payment must meet the commission rules below.
Sharing a link or making an introduction does not, by itself, earn a commission.
Emori's referral records are used to calculate attribution. If you believe a referral has been recorded incorrectly, contact us with supporting details so we can investigate and correct verified errors.
We do not promise commission on introductions that cannot be attributed to your account.
The Partner Program does not permit false registrations, fabricated referrals, duplicate-account manipulation or attempts to earn commission on your own subscription.
5. Your commission: 20% recurring
You earn 20% of qualifying subscription payments received from businesses referred through your approved partner account.
This applies across Emori's subscription plans, including Solo, Founding and Standard.
The 20% rate is fixed for each qualifying referral when that referral is recorded under the program.
There is no fixed twelve-month commission limit.
For each qualifying referral, commission continues for as long as:
- The referred business continues making qualifying subscription payments; and
- You remain an approved, eligible participant in the Partner Program.
Commission stops accruing when the referred customer stops making eligible subscription payments or when your participation in the Partner Program ends.
The rate applies to actual qualifying payments, not a subscription's advertised or historical price.
Emori does not guarantee any number of referrals, conversions, subscriptions or commission earnings.
6. How commission is calculated
Commission is calculated on the qualifying subscription amount received through our payment processor, after discounts and credits and excluding applicable sales taxes.
For example:
| Subscription payment | Commission earned |
|---|---|
| Solo monthly: CAD $47 | CAD $9.40 |
| Founding monthly: CAD $147 | CAD $29.40 |
| Standard monthly: CAD $197 | CAD $39.40 |
| Solo annual: CAD $470 | CAD $94 |
| Founding annual: CAD $1,470 | CAD $294 |
| Standard annual: CAD $1,970 | CAD $394 |
These examples assume full-price payments without discounts, refunds or tax included in the commission base. Actual plan prices may change.
Monthly subscriptions: Commission is earned when the eligible monthly subscription payment is successfully received.
Annual subscriptions: Commission is earned when the eligible annual subscription payment is received. An annual payment does not generate twelve separate monthly commission payments.
Upgrades: Where an eligible subscription upgrade generates a prorated payment, commission is calculated on the qualifying amount collected.
Discounts and credits: Commission is calculated after applicable discounts and credits. A subscription invoice paid entirely using credits, with no qualifying cash payment received, earns no commission.
Free trials and unpaid invoices: No commission is earned on a zero-dollar trial invoice or an unpaid subscription invoice.
Late payments: If an overdue qualifying invoice is subsequently paid, commission may accrue when payment succeeds, provided you remain an approved and eligible partner at that time.
One-time services: One-time purchases, including Clean Slate services, do not earn Partner Program commission unless Emori expressly agrees otherwise in writing.
7. Refunds, chargebacks and adjustments
Commissions reflect subscription payments Emori actually retains.
If a qualifying payment is fully or partially refunded, the related commission is reversed in the same proportion once the refund succeeds.
If a payment dispute or chargeback is resolved against Emori, the related commission is reversed.
A dispute that Emori wins does not, by itself, reverse the commission.
Adjustments may appear as negative amounts in your commission ledger or on a subsequent statement.
A reversal cannot exceed the commission originally earned on the affected payment.
We will not invoice you personally to repay a negative commission balance. Negative balances carry forward and offset future commissions.
Previously earned commissions are not reversed merely because a customer later cancels. Reversals arise from qualifying refunds, lost chargebacks or corrections of improperly recorded commission.
8. Commission payments
Commissions are recorded and paid in Canadian dollars (CAD). A US-dollar payment converts at the Bank of Canada rate for the day it was received, or the last business day before it.
Commission is worked out on the subscription payment before sales tax (section 6).
Emori makes partner payouts manually by bank transfer.
Our standard payout schedule is:
By the 15th of each month for eligible commission from the previous calendar month.
If the net amount available for payment is less than CAD $50, it carries forward to the following month.
Amounts carried forward remain subject to applicable refunds, chargebacks and corrections.
You are responsible for providing accurate bank details and any information reasonably required to process a lawful payment.
If a payout is delayed because of incomplete bank information, an unresolved commission dispute or a legal compliance requirement, Emori will notify you where reasonably possible.
You are responsible for determining and meeting your own tax reporting and remittance obligations arising from commissions. Emori may request tax information or documentation where legally necessary.
Final balance when you leave: When your participation in the Partner Program ends, we pay any positive balance, even one below CAD $50, by the 15th of the month after the month you leave.
9. Your partner portal
Approved partners may access an Emori Partner Portal.
The portal is intended to show:
- Your unique referral link and code.
- Businesses attributed to your partner account.
- Referral signup dates and the commission each has earned.
- Commission entries and relevant payment information.
The Partner Portal does not provide access to a referred business's QuickBooks financial records.
A referral does not authorize you to access that business's accounting records through Emori.
If you are a business's accountant or bookkeeper, your access to its QuickBooks records remains governed by your separate authorization and professional relationship with that business.
If a business invites you to receive Emori's questions about its books, approve fixes or review its activity in Emori, that access is governed by that business's own authorization.
You must keep your portal credentials secure, use the portal only for authorized purposes and notify Emori promptly if you suspect unauthorized access.
Emori may correct ledger errors or temporarily restrict portal access where reasonably necessary to protect accounts or investigate suspected misuse.
10. Professional ethics and disclosure
If you are an accountant, bookkeeper or other regulated professional, you are responsible for determining whether accepting a referral commission is permitted under the laws, professional codes and independence requirements that apply to you and your firm.
Some professional engagements may prohibit commissions. Others may require conflict-of-interest assessment, written disclosure, client consent or additional safeguards.
You agree to:
- Assess the professional and legal rules applicable to each proposed referral.
- Disclose your financial interest in recommending Emori wherever required.
- Obtain and document client consent wherever required.
- Avoid accepting commissions that would impair your independence, objectivity or professional obligations.
- Refrain from referring a client for commission where your applicable rules prohibit doing so.
Participation in the Emori Partner Program does not override professional codes, assurance independence requirements or client confidentiality obligations.
You must notify Emori if a referral or commission presents a compliance issue that requires the commission arrangement to be stopped or changed.
Emori may decline or discontinue commission payments where paying them would violate applicable law or a binding professional restriction, subject to any rights that cannot lawfully be excluded.
11. How you may promote Emori
You may recommend Emori to clients and prospective customers using accurate information about the product and approved Partner Program materials.
You agree not to:
- Make false or misleading claims about Emori's capabilities, accuracy, security, results or availability.
- Guarantee that Emori eliminates bookkeeping errors or replaces professional accounting services.
- Promise specific financial savings or outcomes without adequate evidence.
- Misrepresent the terms of free trials, subscriptions or commissions.
- Use deceptive advertising, false identities, fraudulent referrals or misleading testimonials.
- Bid on Emori's name in paid search advertising.
- Send unsolicited marketing messages in breach of applicable electronic marketing or anti-spam law.
- Disclose client confidential information without authorization.
- Present yourself as an employee or authorized representative of Emori.
You must comply with applicable privacy, advertising, consumer protection and electronic messaging laws, including Canada's Anti-Spam Legislation where relevant.
Any paid advertising or public use of Emori's name, trademarks and branding must comply with Emori's approved brand materials and reasonable written brand requirements.
You may describe yourself as an Emori Partner while approved and active, but you may not claim that Emori certifies, endorses or supervises your accounting practice unless separately authorized in writing.
12. Client choice and responsibility
Your clients decide whether to subscribe to Emori.
A referral does not obligate a client to purchase a subscription or require the client to change accountants.
Each subscribing business is responsible for its own Emori account and for reviewing its financial records, including automated bookkeeping outputs.
Your engagement with the client remains separate from the client's subscription with Emori.
Neither party may represent that participation in the Partner Program guarantees bookkeeping accuracy, regulatory compliance, tax outcomes or improved financial performance.
You remain responsible for your professional services. Emori remains responsible for providing its software subject to its applicable Terms of Service.
13. Personal information and confidentiality
In operating the Partner Program, Emori processes partner account information, referral records, commission details and payment information.
We handle personal information in accordance with applicable privacy law and our Privacy Policy.
You agree to use any personal or business information shown in your partner portal only for legitimate Partner Program purposes and in compliance with applicable law.
You must not publish, sell, scrape, misuse or unnecessarily disclose referral or commission information.
Each party must protect the other's non-public business information received through the Partner Program, except where disclosure is authorized, legally required or reasonably necessary to perform these Partner Terms.
Partner Portal access does not grant access to client bookkeeping records.
14. Changes to the program
Emori may update program administration, portal features, future referral offers or these Partner Terms.
We will give at least 30 days' advance notice of material changes affecting partners' rights, consistent with our general Terms of Service.
A commission rate already fixed for a qualifying referral will not be reduced retroactively merely because Emori changes the rate offered for future referrals.
The value of a commission may nevertheless change when the customer's actual subscription payments change because of pricing, plan changes, discounts, refunds or cancellation.
If you do not accept a material change, you may leave the Partner Program before it takes effect.
Any change or discontinuation of the program must be administered consistently with existing earned commission rights and applicable law.
15. Leaving or being removed from the program
You may request to leave the Partner Program by contacting hello@emori.ai.
Emori may suspend or terminate participation where a partner:
- Commits referral fraud or self-referral abuse.
- Provides materially false information.
- Breaches these Partner Terms.
- Violates applicable law or binding professional requirements.
- Misuses client information, the partner portal or Emori's intellectual property.
Where appropriate, Emori will provide notice and an opportunity to address a remediable issue. Serious fraud, security concerns or legal requirements may justify immediate suspension.
Future commission accrual stops when your Partner Program participation ends.
Valid commissions already earned remain subject to ordinary payment reconciliation, refund or chargeback adjustments and applicable legal requirements.
Any positive balance is paid as set out in section 8, "Final balance when you leave".
Nothing in this section creates an automatic right for Emori to confiscate previously earned commission solely because a partner relationship has ended.
16. No guaranteed income or availability
Participation in the Partner Program does not guarantee income, customer conversions or continued customer subscriptions.
Examples of potential earnings are illustrative calculations, not earnings forecasts.
Emori may experience outages or changes affecting its website, partner portal or referral tracking.
We will take reasonable steps to investigate reported ledger or tracking errors, but do not promise uninterrupted availability.
Neither partner participation nor access to the portal creates a guaranteed minimum term of business or an employment relationship.
17. Liability
To the fullest extent permitted by applicable law, neither party is liable to the other for indirect or consequential losses arising from participation in the Partner Program, including lost prospective referrals or anticipated future commissions.
Nothing in these Partner Terms excludes liability for fraud, fraudulent misrepresentation or another liability that cannot lawfully be excluded.
Nothing in these terms removes Emori's obligation to account for valid, undisputed commissions already earned and payable under the program.
18. Governing law and disputes
These Partner Terms are governed by the laws of Ireland.
The courts of Ireland have exclusive jurisdiction over disputes arising under these Partner Terms, except where mandatory law provides otherwise.
Before beginning formal proceedings, either party should contact the other and attempt in good faith to resolve the dispute within 30 days.
For commission or attribution disputes, email hello@emori.ai with the relevant referral or statement details.
19. General provisions
Entire agreement. These Partner Terms, together with any applicable written program agreement and incorporated policies, govern participation in the Partner Program.
Severability. If a provision is unenforceable, the remaining provisions continue to apply.
No waiver. A failure to enforce a provision once does not waive the right to enforce it later.
Assignment. You may not transfer your partner account or commission rights to another person or business without Emori's written consent, except where the law requires otherwise.
Survival. Provisions concerning earned commission reconciliation, confidentiality, professional obligations, liability and dispute resolution continue to apply where appropriate after participation ends.
